These terms of service apply to the use of Better Desk. By using our services, you agree to these terms.
Definitions
In these terms of service, the following definitions apply:
Better Desk
The private limited company Better Desk B.V., established in the Netherlands, provider of the Service.
Service
The Better Desk platform, including the web application and mobile app for IT asset management.
User
Any natural or legal person who uses the Service.
Account
The personal access to the Service obtained after registration.
Organization
The company or entity within which Users use the Service.
Content
All data, documents, signatures, and other information processed through the Service.
Applicability
- 1These terms of service apply to all agreements between Better Desk and the User.
- 2By creating an Account or using the Service, the User accepts these terms.
- 3Deviations from these terms are only valid if agreed in writing.
- 4Better Desk reserves the right to modify these terms. Changes will be announced at least 30 days in advance.
Account & Access
3.1 Registration
To use the Service, the User must create an Account via Microsoft authentication. The User guarantees that the information provided is correct and complete.
3.2 Security
The User is responsible for securing their Account and may not share their login credentials with third parties. If unauthorized use is suspected, the User must inform Better Desk immediately.
3.3 Organization Management
Administrators of an Organization are responsible for managing user access within their Organization and ensuring compliance with these terms by their users.
Use of Service
The User agrees to use the Service in accordance with applicable laws and regulations. It is not permitted to:
Payment & Pricing
5.1 Rates
The rates for the Service are listed on the website and may vary by subscription type. All prices are exclusive of VAT, unless otherwise stated.
5.2 Invoicing
Invoicing is done monthly or annually in advance, depending on the chosen subscription. Payment must be made within 14 days of the invoice date.
5.3 Price Changes
Better Desk reserves the right to adjust prices. Price changes will be announced at least 30 days in advance and will take effect at the next billing period.
Intellectual Property
All intellectual property rights relating to the Service, including software, designs, texts and logos, belong to Better Desk.
The User retains all rights to the Content they upload or generate via the Service. By using the Service, the User grants Better Desk a limited license to process this Content for the provision of the Service.
Better Desk does not claim ownership rights to your documents, signatures, or other content you generate.
Liability
7.1 Limitation
Better Desk's liability is limited to the amount the User paid to Better Desk in the 12 months preceding the damage-causing event.
7.2 Exclusion
Better Desk is not liable for indirect damage, consequential damage, lost profits, missed savings, or damage due to business interruption.
7.3 Availability
Better Desk strives for an uptime of 99.9% but does not guarantee uninterrupted availability of the Service. Scheduled maintenance will be announced in advance.
Termination
8.1 Cancellation by User
The User may cancel the subscription at any time. The cancellation takes effect at the end of the current billing period. Amounts already paid will not be refunded.
8.2 Cancellation by Better Desk
Better Desk may terminate the agreement with immediate effect if the User acts in violation of these terms or if the User fails to meet their payment obligations.
8.3 Consequences
After termination, the User has 30 days to export their data. After that, all data will be permanently deleted in accordance with our privacy policy.
Changes
Better Desk may modify these terms of service from time to time. Changes will be communicated to Users by email at least 30 days before they take effect. By continuing to use the Service after the changes take effect, the User accepts the modified terms.
Applicable Law
These terms of service and all agreements between Better Desk and the User are governed by Dutch law.
Disputes arising from or related to these terms will be submitted to the competent court in the district where Better Desk is located.
